PLEASE READ THESE TERMS AND CONDITIONS OF USE (hereinafter referred to as « THE TERMS ») CAREFULLY BEFORE USING THE cercledessubversives.org WEBSITE.

You are reading these Terms of Use (« TOU ») by accessing the « Cercle des Subversives » Platform, which includes, among other things, a website, a digital experience, a social networking platform, a mobile application, wearable technology, or any other product or service offered by WLC Partners. You can access the Platform from a computer, mobile phone, tablet, console, or any other device (hereinafter, « Device »).

These Terms of Use constitute a legally binding contract between you and WLC Partners, the company that owns and operates the registered trademark « Cercle des Subversives » (hereinafter « Cercle des Subversives », « we », « us », « our »), and govern your use of the Platform. For the full identity of the entity responsible for providing the Platform and its contact details, please refer to the legal notices.

Please read the following carefully:

  • Our Terms may be subject to change:
    In the event of a significant change, we will post a notice on the Platform or send you a notification. Please review any changes, and if you do not agree with them, please stop using the Platform. If you continue to use our Platform after notification of the changes, you will be deemed to have accepted the terms as amended, to the extent permitted by applicable law.
    You can view the current version of the Terms at any time by clicking on the « Terms of Use » link at the bottom of the home page of the www.cercledessubversives.org website.
  • Terms of Sale:
    By making a purchase from us, you also agree to the Terms of Sale that apply in your country or region.
  • Privacy Policy:
    Our Privacy Policy and Cookie Policy describe the collection and use of personal data on the Platform and apply to your use of the Platform.

ARTICLE 1 – Basic rules

ELIGIBILITY: To use the Platform, you must be of legal age in your country or have the authorization of your legal representative (parents, guardian). Variable age restrictions may apply depending on the country for certain specific services on the Platform.

REGISTRATION RULES: When you create an account with Cercle des Subversives, the following rules apply:

Responsibility: Immediately notify Cercle des Subversives of any unauthorized use of your Cercle des Subversives account. You are responsible for all activity on your Cercle des Subversives account, whether or not you authorized it.
To the extent permitted by applicable law, Cercle des Subversives will not be liable for any loss or activity resulting from unauthorized use of your account.

Accuracy of information: Provide accurate and up-to-date information.

Your account, for your use only: Your registration must be personal. Do not create multiple Cercle des Subversives accounts, do not create a Cercle des Subversives account on behalf of someone else, do not transfer your account, and do not share your account with another person.

Ensure your security: Keep your username, password, and login ID safe, and do not allow anyone else to use your account.

ARTICLE 2 – Ownership of content

With the exception of User Content (defined below), all content on our Platform, including text, software, writing, code, designs, graphics, photographs, sounds, music, videos, interactive features, articles, news, diagrams, animations, labels, general illustrations, and other content (hereinafter « the Content ») – belongs to Cercle des Subversives or its licensors and is protected by copyright, trademark, patent, and/or other protections granted by law.
Cercle des Subversives reserves all rights not expressly described in these Terms.

Subject to the specific usage rights granted to you by Cercle des Subversives via the Platform, you agree not to use, copy, edit, translate, present, redistribute, download, transmit, sell, create derivative works, or exploit the Content in any way, including User Content (except for your own User Content, which you legally post on the Platform), without the prior written consent of Cercle des Subversives.
Unauthorized use of the Content may constitute a violation of copyright, trademark, or other intellectual property laws and may result in civil or criminal penalties.

All trademarks, service marks, and trade names (including the Cercle des Subversives word mark) belong to Cercle des Subversives and are registered and/or licensed by Cercle des Subversives. Your access to or use of the Platform or Content does not grant you any license or other rights to the trademarks, service marks, and trade names.

You agree not to modify or delete any ownership notices contained in the documentation downloaded or printed from the Platform.

In the event that Cercle des Subversives authorizes the downloading or use of Content consisting of works that are protected or likely to be protected by copyright, Cercle des Subversives grants you a limited, personal, non-transferable, non-sublicensable, and revocable license to access and use these works, within the limits of their intended purposes, and only as long as Cercle des Subversives makes this Content available to the public. You shall not acquire any ownership rights in the Content (including trademarks and all intellectual property rights included in the Content), which is reserved for personal and non-commercial use. Cercle des Subversives reserves the right to monitor your use and to modify or revoke your license or access to the Content at any time and for any reason. Cercle des Subversives reserves the right to remove any Content that violates these Terms or infringes on the intellectual property rights of Cercle des Subversives. This limited use authorization does not constitute a waiver by Cercle des Subversives of its rights to the Content.

ARTICLE 3 – Posting content on the platform

License for User Content:
Certain features of the Platform allow you to post photos, videos, comments, and other content, which we refer to as « User Content ». Cercle des Subversives is not responsible for User Content that users post on the Platform. User Content belongs to the person who created it, but when you post User Content, you grant Cercle des Subversives a license to it under the following terms:

  • All users of the Platform are authorized to post User Content. You grant Cercle des Subversives a non-exclusive, perpetual, transferable, sublicensable, royalty-free, worldwide license to the User Content you post on or through the Platform, including the image of any person appearing in the User Content, or any concepts or ideas contained in the User Content, for any purpose, including commercial purposes, which includes the right to translate, represent, reproduce, modify, create derivative works, sublicense, distribute, and assign these rights. Cercle des Subversives may, at its sole discretion, remove any User Content at any time.
  • You understand that deleted User Content may remain in Cercle des Subversives‘ systems and on the Platform to the extent that it has been publicly posted or shared with others who have not deleted it, unless you or the relevant person request deletion or blocking of Personal Data in accordance with applicable law.

License to use comments, feedback, and ideas:
You understand that any comments, feedback, or ideas you send us are transmitted on a non-confidential basis. Therefore, you grant Cercle des Subversives a perpetual, worldwide license to use any comments, feedback, and ideas you share with us, without any notification, compensation, or acknowledgment to you, for any purpose whatsoever, including the development, manufacture, and marketing of products and services, as well as the creation, modification, or improvement of products or services.

ARTICLE 4 – User Code of Conduct

We are delighted to welcome you as a member of the Cercle des Subversives community. Here are a few basic rules to follow:

  • Do not post any User Content on the Platform without having all the necessary authorizations and rights, including from persons appearing or mentioned in the User Content, in order to ensure that your User Content is available.
  • Do not take any action that could harm Cercle des Subversives or its users, and in particular that could disrupt, damage, alter, overload, or limit the functioning of the Platform.
  • Do not post any User Content containing software viruses, programs, or other computer code, and do not circumvent or modify the Platform’s security software or technology.
  • Do not use techniques such as data mining, robots, or other similar methods of data collection.
  • Unless otherwise specified by us, our Platform is public. Do not post personal information—about yourself or anyone else—on the Platform.
  • Do not post advertisements, solicitations, or commercial content on the Platform, and do not accept payment from third parties in exchange for commercial activities on the Platform.
  • Do not collect or solicit personal information from other users of the Platform, and do not send unsolicited messages.
  • Do not use automated technology to interact with the Platform.
  • Respect the community and do not post User Content, links to websites, or commit any other illegal, misleading, malicious, provocative, erroneous, discriminatory, or otherwise objectionable or inappropriate acts, or acts that violate applicable laws. Cercle des Subversives has the right to preselect, monitor, or remove User Content—but has no obligation to do so.

Do not impersonate other individuals or organizations, including customers or employees of WLC Partners, owner of the Cercle des Subversives brand.

ARTICLE 5 – Partenaires sur la plateforme​

At any time, Cercle des Subversives may associate with or enter into partnerships with third-party websites, social media platforms, mobile applications, or other third-party products and services (hereinafter « Third Parties »).

You may be able to connect to these Third Parties via the Platform, but this does not imply that Cercle des Subversives endorses, manages, or exercises any control over these Third Parties or their activities, which are subject to separate terms of use and privacy policies. You are encouraged to review the terms and privacy policies of Third Party sites.

Cercle des Subversives is not responsible for the content, policies, or activities of Third Parties, and you interact with these Third Parties at your own risk.

ARTICLE 6 – Disclaimer of Liability

Interactions between users:
To the extent permitted by applicable law, we are not responsible for your interactions with other users of the Platform or for any damages or harm you may suffer as a result of such interactions.

Be responsible and take precautions when interacting with other users (including users you do not know) on the Platform. Cercle des Subversives has no obligation to become involved in any dispute between users, but may do so at its sole discretion.

Disclaimer of Warranty:
Some jurisdictions do not allow limitations or exclusions on liability, warranties, or legal remedies. In such cases, these exclusions and limitations may not apply to you.

  • The Platform, the Content, and the documents and products on this Platform are provided « AS IS ». We make no promises, including regarding the accuracy, relevance, usefulness, reliability, etc. of the Platform.
  • TO THE EXTENT PERMITTED BY APPLICABLE LAW, Cercle des Subversives IS NOT RESPONSIBLE FOR USER CONTENT POSTED ON THE PLATFORM.
  • Cercle des Subversives does not guarantee that the Platform will be free from interruption or malfunction, that it does not contain viruses or other harmful elements, or that all defects will be corrected.
  • To the maximum extent permitted by applicable law, Cercle des Subversives disclaims all warranties, express or implied, regarding the Platform, the Content, User Content, or any product or service that you may obtain or access through the Platform, including, but not limited to, implied warranties of quality, merchantability, fitness for a particular purpose, and authenticity.
  • You are solely responsible for any damage to your Device resulting from accessing the Platform, to the extent that applicable law does not provide otherwise.

We hope you enjoy and benefit from the Platform to the fullest; however, we do not guarantee any results.

ARTICLE 7 – Limitation of Liability

We want you to enjoy the Platform to the fullest, but the Cercle des Subversives must also protect itself from any damage you may cause.

Indemnification and Waiver:
Some jurisdictions do not allow certain limitations or exclusions of liability and warranties and legal remedies, and these exclusions or limitations may not apply to you.
You agree to indemnify, defend, and hold harmless le Cercle des Subversives through its parent company WLC Partners, its subsidiaries, officers, directors, employees, agents, licensees, and suppliers (hereinafter the « Cercle des Subversives Parties ») from and against any and all claims, loss, liability, expense, damage, and cost, including legal fees, arising in any way from your User Content, your use of the Platform, your conduct on the Platform or with other users of the Platform, any violation of these Terms of Use, law, or third-party rights. On behalf of yourself and your heirs, estate, insurers, successors, and assigns, you hereby waive all claims or legal actions against the Cercle des Subversives Parties for damages resulting in any way from your use of the Platform.

Limitation of Liability:
Some jurisdictions do not allow certain limitations or exclusions of liability and legal guarantees and remedies, so these exclusions or limitations may not apply to you.
The parties of Cercle des Subversives shall not be liable for any direct, special, incidental, indirect, or consequential damages, including but not limited to, any loss of profits or data resulting from the use or inability to use the platform or products purchased through the platform, or the behavior of other users of the platform (online or offline), or participation in an event organized by Cercle des Subversives or its partners, or any user content or activity in connection with the use of the platform, even if Cercle des Subversives has been advised of the possibility of such damages. You assume full responsibility for your use of the platform. Your sole remedy against Cercle des Subversives in the event of damage resulting from your use of the platform or its content is to stop using the platform. If Cercle des Subversives is found to be liable for any damage or loss you may suffer as a result of your use of the platform, Cercle des Subversives‘ liability shall not exceed $100.00 or €100.00 if you reside in Europe.

ARTICLE 8 – Termination

Cercle des Subversives may delete or modify any Cercle des Subversives Platform, Member Program, product, or service at any time without notice.

Cercle des Subversives may terminate or suspend your account, delete your profile or all or part of your User Content, and restrict your use of all or part of the Cercle des Subversives Platform at any time and for any reason, without incurring any liability, within the limits of applicable law.

You understand and agree that some of your User Content, particularly that which is posted in a news feed or other public area of the Project, may remain public after your account is terminated, subject to your right to request the removal of your User Content in accordance with applicable law.

These Terms remain applicable even after your account has been terminated or you have stopped using the Project.

ARTICLE 9 – Disputes / Additional Terms and Conditions

Applicable law/competent jurisdiction:
You acknowledge that this Platform is a passive platform, based solely in France, which cannot give rise to any jurisdiction other than that of the courts of France.

  • You agree that the Platform, the Terms and Conditions, the Privacy Policy, the Cookie Policy, and any dispute between you and Cercle des Subversives shall be governed in all respects by French law, excluding the provisions relating to the choice of law, and the 1980 French Convention on International Sales Contracts.
  • Subject to the contrary provisions of applicable law, and without limitation to consumer rights, you acknowledge that any dispute, claim, or legal proceeding arising directly or indirectly from the Platform (including the purchase of Cercle des Subversives products) shall be resolved individually, excluding any recourse to any form of class action, and exclusively before the French courts.
  • You waive any defense of « lack of jurisdiction » and « incompetent forum » with regard to the material and territorial jurisdiction of the French courts.
  • All claims must be made within one (1) year of the event giving rise to the damage, unless a longer period is provided for by applicable law.

Electronic communication

  • By using the Platform, you agree to receive electronic communications from Cercle des Subversives, subject to applicable law.
  • You agree that any notices, agreements, notifications, publications, and other communications that Cercle des Subversives sends you electronically satisfy any legal requirement, including but not limited to the requirement that such communications be made in writing.

Right of assignment, no exceptions, severability:

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Cercle des Subversives may assign its rights and duties under these Terms to any party at any time without notice to you, subject to applicable law. Such assignment shall not affect your rights or obligations under these Terms.

Cercle des Subversives‘ failure to enforce and/or strictly enforce these Terms shall not be construed as a waiver of these Terms or Cercle des Subversives‘ rights. Users should always consider these Terms to be applicable.

ARTICLE 10 – Copyright infringement

Please consult your legal advisor before filing a claim with us, as any false claims on your part are subject to penalties. Cercle des Subversives reserves the right to terminate the accounts of Platform users who do not respect the copyrights of third parties.

If you believe that your work has been copied to the Platform in a way that constitutes copyright infringement, please provide us with the following information:

(1) date of notification;
(2) if the complainant is a natural person: business name, first name, profession, address, nationality, place and date of birth;
(3) if the complainant is a legal entity: name, legal form, registered office, and legal representative;
(4) name and address of the recipient, or if it is a legal entity, its business name and registered office;
(5) a description of the facts and the precise location;
(6) the grounds justifying the removal of the content, including legal provisions, and evidence of the facts;
(7) a copy of the correspondence sent to the author or publisher of the content or acts in dispute requesting their interruption, removal, or modification, or an explanation of the reasons why the author or publisher could not be contacted.
