Terms of Sale

These Terms of Sale (hereinafter « ToS ») constitute a legally binding contract between you and WLC Partners, the company that owns and operates the registered trademark « Cercle des Subversives » (hereinafter « Cercle des Subversives », « we », « us », « our »), and govern your access to and use of the website « www.cercledessubversives.org » (hereinafter « website »). To find out the full identity of the entity responsible for providing the Platform and its contact details, please refer to the legal notices.

The offer and sale, on our website, of any type of product, including the sale of tickets for events or memberships (hereinafter « Products »), are subject to these « Terms of Sale ».

Cercle des Subversives sells products on www.cercledessubversives.org and conducts e-commerce activities exclusively with end consumers, i.e., any natural person acting for purposes unrelated to any business or professional activity they may engage in. Any person who is not an « end consumer » is requested to refrain from entering into any commercial transaction on www.cercledessubversives.org. Cercle des Subversives reserves the right not to fulfill orders from any person who is not an « end consumer » or any order that does not comply with its commercial policy as defined in these ToS.

The ToS may be modified at any time. The new ToS will apply to consumers from the date of their publication. You can view the current version of the ToS at any time by clicking on the « Terms of Sale » link at the bottom of the home page of the website www.cercledessubversives.org.

In addition, each time you place an order on the website www.cercledessubversives.org, you will be asked to confirm your acceptance of these ToS in force on the date of placing your order.

ARTICLE 1 – Price

The prices of our products are indicated in Euros, including all taxes but excluding delivery costs in mainland France and abroad. Only prices in euros are binding on Cercle des Subversives.

For orders to countries other than mainland France, you are the importer of the product(s) concerned. For all products shipped outside the European Union, the price may be calculated excluding taxes on the invoice. Consumers should note that customs duties, local taxes, import duties, or state taxes may be payable. Cercle des Subversives cannot be held responsible for the payment of these duties and taxes. They will be your responsibility and you will be solely responsible for declaring and paying them to the relevant authorities and organizations in your country. Therefore, before placing any order, we recommend that you check with the authorities in your country.

All orders must be paid for in Euros.

www.cercledessubversives.org reserves the right to change product prices at any time. However, products will be invoiced at the price in effect at the time your order is placed, subject to availability.

ARTICLE 2 – Order

By confirming your online order, you unreservedly accept these ToS and agree to abide by them in your dealings with Cercle des Subversives. If you disagree with any of the terms set out in these ToS, please do not confirm your order form for any purchase on www.cercledessubversives.org.

The fulfillment of all orders placed on www.cercledessubversives.org is subject to product availability.

www.cercledessubversives.org reserves the right to refuse your order for any reason, including if there is a dispute over a previous order, or if we reasonably believe that a customer has breached these ToS.

We also reserve the right to cancel a contract by written notice, without being liable for any damages or costs other than the refund of any money paid by you in connection with the Contract that we have canceled in the following situations:

• the product is not available/in stock;
• your billing information is incorrect or cannot be verified;
• your order is flagged by our security systems as unusual or potentially fraudulent;
• you are under 16 years of age or under the age required by applicable law to enter into an agreement with Cercle des Subversives;
• you are a reseller;
• there has been an error in the price displayed on www.cercledessubversives.org;
• we have been unable to deliver to the address you provided;
• due to an event beyond our control (see below).

Event tickets

Tickets/seats sold are non-transferable unless expressly agreed in advance by Cercle des Subversives. For any transfer requests, please contact us via the contact form or by sending an email to contact@cercledessubversives.org.

Any transfer made without our written consent may result in the ticket being canceled and/or access to the event being denied.

EVENTS BEYOND OUR CONTROL

An Event Beyond Our Control means any act or event beyond our reasonable control, including but not limited to strikes, collective disputes or any other collective actions taken by third parties, civil unrest, riots, invasions, terrorist attacks or threats of terrorist attacks, war (whether declared or not) or threats or preparations for war, fire, explosions, storms, floods, earthquakes, subsidence, epidemics or any other natural disasters, or failures of public or private telecommunications networks.

If an event beyond our control occurs and affects the performance of our obligations under these ToS:

• We will contact you as soon as possible to inform you;
• Our obligations under these terms of sale will be suspended and the time for performance of our obligations will be extended for the duration of the event beyond our control.
• If the event beyond our control affects the delivery of a Product, a new delivery date will be agreed with you after the end of the event beyond our control.

ARTICLE 3 – Memberships

www.cercledessubversives.org offers memberships subject to approval, the details of which are defined on the « Join us » page.
Cercle des Subversives reserves the right to accept or refuse any membership request without having to justify its decision.

Application and formation of the contract

• The consumer submits an online membership request and enters their payment details; a secure credit card imprint is taken, without immediate debit.
• Le Cercle des Subversives has seven (7) calendar days to accept or reject this request.
• If accepted, the contract is concluded on the date of notification of acceptance (email), the first payment is then automatically debited, and the subscriber immediately benefits from their membership advantages on the Platform.
• If the request is declined, no amount is debited and the credit card imprint is automatically deleted at the end of the seven (7) day period.

Terms and conditions common to all memberships

• Level typology
  • Each membership level corresponds to one or more types of professional or personal situations. Subscribers are responsible for choosing the level that corresponds to their actual situation.
• Approval and supporting documents
  • All subscriber are subject to the express acceptance of the Cercle des Subversives, which may request proof (student, in career transition, retired, etc.) in order to benefit from a reduced rate.
  • The contract is only definitively formed after verification of the documents provided and notification of acceptance by email.
• Data collection and storage
  • Supporting documents are collected on the basis of contract performance (verification of entitlement to the reduced rate) and used exclusively for this purpose.
  • They are kept for the period strictly necessary for this purpose, then deleted or destroyed as soon as their purpose has been fulfilled.
• Payment
  • Payments are secured by Stripe. In the event of a failed payment, the subscriber will be notified and will have seven (7) days to rectify the situation, failing which access to the service may be suspended.

Fixed-term membership

• Specifications
  • The membership takes effect on the date of validation of the first payment (secured via Stripe) and runs for the duration specified on the « Join us » page (annual only for all levels).
  • The end date is mentioned at the time of membership.
• Early renewal
  • Subscribers may renew their membership before the expiration date to avoid interruption of access. This early renewal is only valid for the same membership level.
  • To change levels, the subscriber must wait for the current membership to expire and then subscribe to a new membership at the desired level.
• Expiration and rights
  • Upon expiration, the membership automatically terminates and the subscriber immediately loses all rights related to the service.
  • An expiration confirmation email is sent to the subscriber on the day their membership ends.
• Advance notifications
  • An automatic reminder email is sent to the subscriber 14 days before the expiration date and on the expiration date.
• Period due
  • Any membership period that has begun is due in full.

ARTICLE 4 – Availability

Cercle des Subversives sells limited edition or limited quantity products on www.cercledessubversives.org.

When a product is no longer available, the words « sold out » or « out of stock » are displayed and it is therefore no longer possible to order it. You can write to Customer Service for more information about restocking. You can also add the item to your wish list by clicking on the star on the product preview or on the product page, so you can easily monitor availability and be notified when it is restocked.

No orders can be placed when the product is unavailable. However, errors may occur in exceptional circumstances, particularly in the event that orders for the same product are placed simultaneously by several customers. In this case, we undertake to inform you by email or telephone as soon as possible. Cercle des Subversives will then offer you either a refund for your order or an exchange for another available product or model.

Cercle des Subversives shall not be held liable in the event of stock shortages or product unavailability on its website www.cercledessubversives.org.

ARTICLE 5 – Order completion

For each product selected on the www.cercledessubversives.org website, a summary page is displayed, showing detailed information about the product, such as its unit price and the total price of your order. You must carefully check the accuracy of your selection before confirming your order.

Cercle des Subversives makes every effort to ensure that the color and pattern of the products displayed on the www.cercledessubversives.org website are faithful to the original products. However, variations may occur, particularly due to the limitations of color rendering for certain items. Consequently, www.cercledessubversives.org cannot be held responsible for any errors or inaccuracies in the photographs or graphic representations of the products appearing on the www.cercledessubversives.org website.

If you have any questions about the products, you can of course contact Cercle des Subversives Customer Service by email using our contact form or by sending an email to contact@cercledessubversives.org.

Any order placed on www.cercledessubversives.org requires you to provide accurate and complete information at the time of ordering. The information requested will include your first and last name, telephone number, email address, date of birth, billing and delivery address, and any additional notes.

Once completed, your order is sent directly for processing. You can only modify or cancel it by contacting Cercle des Subversives Customer Service using our contact form or by sending an email to contact@cercledessubversives.org.

A summary of your order will be sent to you by email. The confirmation email will include the names of the products ordered, the quantity, the price, and the shipping costs.

To make your next orders on www.cercledessubversives.org easier, you can create a personal account on the site to save your billing and delivery information. When you do so, you will be asked to create your own password for future use of this account. By creating this account, you agree to keep these credentials confidential and never disclose them to third parties. Consequently, any purchase made using these credentials will be deemed to have been made by you.
In the event of loss, theft, or any fraudulent use of your password, you agree to notify Cercle des Subversives immediately using our contact form or by sending an email to contact@cercledessubversives.org.

ARTICLE 6 – Payment

You can choose between different payment methods depending on availability:

• Credit cards: the following cards are accepted CB, Visa, MasterCard, Maestro, e-cartebleue, Visa electron, American Express, Discover, Diners Club et China UnionPay
• GPay de Google
• ApplePay de Apple
• Link
• Paypal

Your payment is encrypted and secured by PAYPAL, STRIPE, GOOGLE, APPLE or LINK.

ARTICLE 7 – Cancellation

Event tickets

In accordance with Article L.221-28, 12° of the Consumer Code, the right of withdrawal does not apply to contracts for services provided on a specific date or during a specific period. Consequently, tickets/seats sold for our events are final and non-refundable once payment has been made.

In the event of cancellation of the event by the organizer, the terms and conditions for reimbursement or credit will be specified and applied by the organizer.

Fixed-term memberships

Formation of the contract (see Article 3):

• The consumer enters their payment details and a secure card imprint is taken (without any debit).
• The Cercle des Subversives will accept or reject the application within seven (7) days.
  • Acceptance: immediate deduction of the first payment, immediate access to benefits, service deemed to have commenced.
  • Declined: no amount debited, imprint deleted after the time limit.

Right of withdrawal and waiver

• In accordance with Article L. 221-28 1° of the Consumer Code, the right of withdrawal is normally 14 days from the conclusion of the contract (date of acceptance).
• Exception: Article L. 221-28 1° provides that this right does not apply if the service is fully performed before the end of the period and the consumer has given their express agreement and acknowledged that they are losing this right.
• Mandatory waiver: to validate their membership, consumers must check a box that is not pre-checked, labeled:
  • « In accordance with Article L. 221-28 1° of the Consumer Code and Article 7 of our Terms and Conditions, I agree to the immediate performance of the service upon acceptance of my request and waive my right of withdrawal. »
• Effect of checking the box: by checking this box, the subscriber formally waives their right of withdrawal on the date of acceptance of their membership request (see Article 3).

Cancellation before conclusion of the contract

The consumer may, at any time prior to notification of acceptance (see Article 3), cancel their request free of charge and without justification by contacting Cercle des Subversives via the contact form available on its website or via the following address: contact@cercledessubversives.org.

ARTICLE 9 – Liability

The products offered comply with current French legislation.

It is your responsibility to check with the local authorities in your country regarding the possibilities of importing or using the products or services you intend to order.

ARTICLE 10 – Applicable law & disputes

This contract is written in French and subject to French law. In the event of a dispute or claim, only French courts shall have jurisdiction.
